I used to have a long and complicated contract filled with legalese. It was time consuming and hard to read. Now, I have a brief list of terms (in plain English) instead, and it only takes about 5 minutes to read through. These terms are still legally binding upon your signing of this proposal, so please read them carefully. 

• The Creative Club subscription is an ongoing contract, paid month to month (with a minimum of 6 months). By entering this agreement, you agree to pay the entire amount of $3000.

• The payment schedule is as follows: payments will be withdrawn automatically each month for the amount of $500 in perpetuity, with a minimum of six (6) monthly payments. 

• A late fee of 3% will be charged monthly if invoices are not paid. I will pause all project work until the invoice is paid. Once the missed fee is paid, we will resume working on our project. All fees are payable by direct deposit, credit card or Paypal. 

• Each month, you can request design support for one (1) specific project, not to exceed four (4) hours of work. Unused time will be forfeited at the end of the month. If your project exceeds the hourly availability, I'll email you with the option to pay an additional hourly fee ($200/hour), wait to finish the project during the next month, or upgrade your retainer to a Creative Partnership for more time and a lower hourly rate.

• You are responsible for requesting work each month using the Creative Club form (any requests sent outside this form will not be completed). I'll be responsible for reminding you to submit your requests and suggesting projects. 

• On the first Monday of each month, you'll receive an email with a form to submit your design request from the list of pre-approved deliverables and share any relevant ideas/content/information with me. I'll get to work on your project immediately and send the final work to you within ten days or less. On the third Monday of each month, you'll receive another email to submit your request if you haven't already and download the design assets.
  

• All assets will be emailed directly to you and uploaded to a private Google Drive file. 

• The retainer cost stated in the statement of work only covers our project fee. If you decide to use a licensed font, stock imagery or other external paid asset for your brand, you are responsible for the cost. 

• I own all of our original Intellectual Property related to an individual project's development until the project is delivered and the project fee is fully paid. At that point, all related Intellectual Property ownership will be transferred to you (or your company). Don’t worry; all of your company information will remain confidential in the meantime. 

• Any communication (whether from you or us) deemed Confidential Information is completely confidential between my studio and your company, as is any in-progress project work that I send to you for review. 

• Please do not send us materials or digital assets for use in the project that you do not own or have the license to use/distribute. I will not be held legally liable for any resulting damages if I'm misled regarding the rights to and ownership of said assets. 

• You are responsible for final proofreading. If an errors persist after your validation (for example but not limited to: typographic errors or misspellings) in the final product, you are responsible for the cost of correction. 

• Please respect my time, my work, and my dignity. I hold my team and my clients to high standards, and I reserve the right to cancel a project with no refund of fees paid if you do not share our values or meet my behavioral standards (after a written warning, of course). 

• If you choose to cancel this contract for any reason before the minimum 6 month period, you will be charged 100% of the remaining balance. I can cancel this project at any time by informing you at least thirty (30) days in advance. The Intellectual Property of my in-progress creative work (designs, original copywriting, etc.) will remain my property. 

•  If there’s any misunderstanding regarding the project at any point, I'm always happy to work with you to resolve it without getting lawyers involved. However, if there is any legal action that results from this project, you agree not to hold me liable for paying damages (to any party) that exceed the project fee. 

• ‘Force Majeure’: If something terrible happens to my studio or my team members (pandemic, natural disaster, war, fire, etc.), I'll probably need to adjust the project deadline. I reserve the right to do so. 

• Finally, I reserve the right to share the work we’ll have done for you (and your glowing testimonial) on my social media accounts, website, promotional materials, and award shows (excluding internal brand strategy documents). If you wish to revoke this right for privacy reasons, please let me know. Work excluded from my promotional materials will incur a privacy fee of 20% of the total project cost. 

• I will not perform services with respect to content comprising gambling, violence, racism, bigotry, sexism, fascism, white supremacy, homophobia, and unethical business practice (including but not limited to child or slave labor).
